Freedom Uptrend Affiliate Program Agreement

1.1 Independent Contractor

The parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.

1.2 Non-Exclusivity

This Agreement is non-exclusive. You are free to promote other products and services, including those of competitors, provided such promotion does not violate the confidentiality or intellectual property rights of Freedom Uptrend.

2.1 Commission Rate

You will earn a recurring commission of 40% of Net Revenue for the lifetime of the referred Customer, provided the Customer remains active and paying.

2.2 Net Revenue Definition

"Net Revenue" is defined as the amount actually received by Freedom Uptrend from the Customer, less any:

• Taxes (Sales tax, VAT, GST, etc.).
• Refunds, chargebacks, and returns.
• Discounts or credits applied to the account.
• Transaction and processing fees.

2.3 Qualified Sale

A commission is earned only if:

• The Customer is a new user (not an existing or returning customer).
• The Customer clicks your unique Affiliate Link.
• The Customer successfully completes the 30-day Free Trial and their first paid subscription charge is successfully processed.
• The transaction is not flagged as fraudulent.

2.4 Locking Period

Commissions are "locked" and pending for a period of 15 days following the successful processing of the Customer's first paid invoice (post-trial).

2.5 Payout Schedule

Payouts are processed monthly. Commissions will be paid out once your accrued unpaid balance exceeds the minimum threshold of $50.00 USD.

2.6 Payout Method

Payments will be made via Stripe (or such other method as the Company may support). You are responsible for keeping your payment information up to date.

3.2 FTC Disclosure

You must clearly and conspicuously disclose your affiliate relationship (e.g., "Sponsored," "Ad," or "I earn a commission") in all posts, emails, and links, in compliance with the US Federal Trade Commission (FTC) Endorsement Guides.

3.3 PPC Restrictions

You may NOT bid on keywords containing "Freedom Uptrend," "FreedomUptrend.com," or any misspellings or variations thereof on Google Ads, Bing, or social media advertising platforms. You may not use your affiliate link as the "Display URL" in paid ads.

3.4 Spam

You must comply with the CAN-SPAM Act and all applicable anti-spam laws. Unsolicited email marketing is strictly prohibited.

3.5 Self-Referrals

You may not use your own affiliate link to purchase a subscription for yourself, your household, or your employees.

4.1 Triggers

We reserve the right to claw back (deduct) commissions in the following events:

• The Customer requests and receives a refund.
• The transaction is subject to a Chargeback or credit card dispute.
• The sale was generated using fraud or prohibited marketing tactics.

4.2 Recovery

We may deduct clawback amounts from your future pending commissions. If no future commissions are pending, we reserve the right to invoice you for the overpaid amount, payable within thirty (30) days. This right to claw back survives for 12 months following the original transaction.

5.1 License

We grant you a limited, revocable, non-exclusive, non-transferable license to use Freedom Uptrend's logos, trademarks, and marketing materials solely to promote the Service during the term of this Agreement.

5.2 Restrictions

You may not modify our logos or register domain names containing "Freedom Uptrend" or confusingly similar terms.

6.1 Term

This Agreement begins upon our acceptance of your application and continues until terminated.

6.2 Termination for Convenience

Either party may terminate this Agreement at any time, with or without cause, by giving the other party fifteen (15) days' written notice.

6.3 Termination for Cause

Freedom Uptrend may terminate this Agreement immediately without notice if you breach Section 3 (Marketing Standards) or engage in fraud.

6.4 Effect of Termination

Upon termination, your right to use our IP ceases immediately. If terminated for convenience, you will receive any outstanding qualified commissions. If terminated for Cause, all pending commissions are forfeited.

9.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

9.2 Venue

Although the Company is organized in Florida, you acknowledge our current operational nexus in Arizona. You agree that any legal action or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the federal or state courts located in Maricopa County, Arizona.

9.3 Class Action Waiver

You agree to resolve disputes on an individual basis and explicitly waive any right to participate in a class action lawsuit or class-wide arbitration.
