1. Agreement to Terms

By creating an account, purchasing a subscription, or accessing the services provided by Freedom Uptrend LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

IMPORTANT NOTICE: THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 11). PLEASE REVIEW IT CAREFULLY.

2. Nature of Service: The "Publisher's Exclusion"

Freedom Uptrend is a provider of financial data and AI-generated analytics. We are NOT an investment adviser, broker-dealer, or financial planner.

Bona Fide Publication

Our Service is a "bona fide publication of general and regular circulation" offering impersonal analysis. Our AI models generate forecasts based on mathematical criteria without regard to your specific financial situation, risk tolerance, or needs.

No Fiduciary Duty

There is no fiduciary relationship between you and Freedom Uptrend. You agree that you are solely responsible for your own investment research and decisions.

Educational Purpose Only

All content, forecasts, and data provided are for informational, educational, and research purposes only. You should not construe this information as legal, tax, investment, financial, or other advice.

3. Artificial Intelligence Disclaimers

You acknowledge that the Service utilizes experimental Generative AI and Machine Learning technologies. By using the Service, you accept the following inherent risks:

  • Probabilistic Nature: AI forecasts are probabilistic, not deterministic. They are predictions based on historical patterns, not guarantees of future performance.
  • Risk of Hallucination: AI models may occasionally generate "hallucinations"—sounding plausible but factually incorrect data. You agree to independently verify all data before making investment decisions.
  • Model Drift: Market conditions change. A model that performed well in the past may degrade in accuracy due to new economic regimes ("Model Drift"). Past performance of the AI is not indicative of future results.

4. User Accounts and Security

To access the Service, you must register for an account.

Single-User License

Your subscription is for one (1) natural person. Sharing your login credentials with others, including pooling resources to buy one account for a group, is a material breach of these Terms.

Security

You are responsible for safeguarding your password. You agree to notify us immediately of any unauthorized use of your account.

Termination for Cause

We reserve the right to terminate or suspend your account immediately, without refund, if we detect:

  • Password sharing or concurrent login sessions from disparate locations.
  • Suspicious activity suggesting automated access.
  • Abusive behavior toward our support staff or other users.

5. Subscription, Billing, and Cancellation

Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel. By providing a payment method, you authorize us to charge the applicable fees on a recurring basis.

Cancellation

You may cancel your subscription at any time via your Account Settings. Cancellation will be effective at the end of your current billing period. You will continue to have access until that date.

No Refunds

All sales are final. Because our Service is digital content that is immediately accessible, we do not offer refunds once the Service has been accessed.

Price Changes

We reserve the right to modify subscription fees. We will provide reasonable prior notice (e.g., via email) of any price increase. Continued use after the price change constitutes your agreement to the new rate.

6. Prohibited Conduct (Acceptable Use Policy)

You agree not to misuse the Service. The following actions are strictly prohibited and will result in immediate ban and potential legal action:

  • Scraping: You may not use any robot, spider, scraper, deep-link, or other automated data gathering or extraction tools, programs, algorithms, or methodologies to access, acquire, copy, or monitor the Service.
  • Reverse Engineering: You may not attempt to derive the source code, algorithms, model weights, or underlying logic of the AI.
  • Market Manipulation: You may not use the Service to coordinate "pump and dump" schemes, engage in insider trading, or violate any securities laws.
  • Reselling: You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.

7. Intellectual Property

The Service and its original content (including the AI models, UI, and proprietary datasets) are and will remain the exclusive property of Freedom Uptrend LLC and its licensors.

User License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

Feedback

If you provide feedback or feature suggestions, you assign all rights in such feedback to us, and we may use it without any obligation to compensate you.

8. Limitation of Liability

READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.

To the maximum extent permitted by law, in no event shall Freedom Uptrend LLC be liable for:

  • Trading Losses: Any financial losses, lost profits, or lost investment opportunities resulting from your reliance on the AI forecasts.
  • Consequential Damages: Any indirect, incidental, special, consequential, or punitive damages.
  • Data Issues: Damages resulting from the loss of data, errors, or latency in third-party data feeds.
  • Monetary Cap: In no event shall our total liability to you for all claims exceed the amount you have paid to us in the twelve (12) months prior to the event giving rise to the liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Freedom Uptrend LLC from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right or any law, including securities regulations.

10. Third-Party Links and Data

Our Service may contain data from third-party sources or links to third-party websites. We do not control or endorse these sources. We are not responsible for the accuracy, timeliness, or completeness of third-party financial data (e.g., stock price feeds).

11. Dispute Resolution: Arbitration and Class Action Waiver

Binding Arbitration

Any dispute arising out of these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) or JAMS.

Class Action Waiver

You agree that any arbitration or proceeding will be conducted in your individual capacity only and not as a class action or other representative action.

Mass Arbitration Batching

If 25 or more similar arbitration demands are filed against Freedom Uptrend, they will be "batched" in groups of 50 for efficiency, and the remaining claims will be stayed until the first batch is resolved.

12. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Florida (or Arizona, if mandated by our current operational nexus) for any actions for which we retain the right to seek injunctive or other equitable relief.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
